1. Agreement to Terms
By accessing or using the services provided by P&G Consulting Group ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
P&G Consulting Group provides business consulting, educational consulting, strategic planning, AI integration services, and related professional services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
3. User Accounts and Registration
3.1 Account Creation
You may be required to create an account to access certain features of our services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. SMS/Text Messaging Terms (A2P Compliance)
4.1 Consent to Receive Messages
By providing your mobile phone number and opting in, you consent to receive automated marketing and informational text messages (SMS/MMS) from P&G Consulting Group at the number provided. Consent is not required as a condition of purchasing any goods or services.
4.2 Message Types and Frequency
You may receive messages about service updates, appointment reminders, promotional offers, and other business-related communications. Message frequency may vary, with an expected maximum of 4 messages per month.
4.3 Message and Data Rates
Standard message and data rates may apply as determined by your mobile carrier. You are responsible for any charges incurred from your carrier.
4.4 Opt-Out and Help

4.5 Supported Carriers
Our SMS service is supported by all major U.S. mobile carriers including AT&T, T-Mobile, Verizon, Sprint, and others. Carriers are not liable for delayed or undelivered messages.
4.6 Program Modifications
We reserve the right to modify or terminate our SMS program at any time without notice. We will notify you of material changes to message frequency or program terms.
5. Acceptable Use Policy
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt our services or servers
- Attempt to gain unauthorized access to any part of our services
- Upload or transmit viruses, malware, or any other malicious code
- Collect or harvest information about other users without their consent
- Use our services to send spam or unsolicited communications
6. Payment and Fees
6.1 Service Fees
Certain services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified in a written agreement or required by law.
6.2 Payment Processing
You agree to provide current, complete, and accurate payment information. You authorize us to charge your designated payment method for all fees incurred.
6.3 Late Payments
Late payments may result in suspension or termination of services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law.
7. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of P&G Consulting Group or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our prior written consent.
8. Confidentiality
During the course of our professional relationship, you may share confidential information with us. We agree to maintain the confidentiality of such information and use it only for the purpose of providing our services, except as required by law or with your express consent.
9. Disclaimers and Limitations of Liability
9.1 Services "As Is"
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Limitation of Liability
To the maximum extent permitted by law, P&G Consulting Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
9.3 Maximum Liability
Our total liability to you for all claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless P&G Consulting Group and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services or violation of these Terms.
11. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at info@pngconsulting.net. We will attempt to resolve the dispute informally within 30 days.
12.2 Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California.
12.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and P&G Consulting Group individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and P&G Consulting Group regarding our services.
